Fraud Lab Fund Contest Rules
OFFICIAL CONTEST RULES (THE “OFFICIAL RULES”) – NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED OR RESTRICTED BY LAW.

1. CONTEST: Forter Fraud Lab Fund Contest (the “Contest”).

2. CONTEST SPONSOR: Forter, Inc., 575 Fifth Avenue, 29th Floor, New York, New York 10017 (“Sponsor”).

3. INTRODUCTION: For good and valuable consideration (including, without limitation, the possibility of publicity), the receipt and sufficiency of which are hereby acknowledged, you are submitting certain writings and/or other material(s) (the “Submission”) as part of your entry to the Contest. Since a Submission constitutes acceptance of these Entry Rules & Regulations (by you and your agents), please review this document carefully.

4. CONTEST PERIOD: The Contest commences on or about October 11, 2023 at 9:00 AM ET and continues through December 1, 2023 11:59 PM ET (the “Contest Period”). Eastern Time shall control for all purposes of the Contest, and Sponsor’s computer shall be the official clock for all purposes of the Contest.

5. ELIGIBILITY: Open to legal residents of the U.S. and Canada (excluding Quebec) 18 years of age or older or the age of majority in the entrant’s jurisdiction of residence (whichever is greater). Sponsor and each of its respective affiliates, officers, directors, employees, agents, advertising, public relations and promotion agencies, the judges, and members of each of their immediate families (i.e. spouses, parents, children and siblings, and their respective spouses) and those living in the same household of each are not eligible to enter.

6. METHOD OF ENTRY: Go to https://forms.gle/mM9iHCdLsVj2qRbFA and follow the instructions.
All entries must be received by December 1, 2023 at 11:59 PM ET. No facsimiles or mechanically reproduced entries (other than the electronic transmission of the online entry or entry via email) will be allowed. Limit one entry per person regardless of method of entry. In the event that there is more than one entry for the same person, Sponsor may disqualify that person. Sponsor is not responsible for incomplete, lost, late, stolen, damaged, illegible, misdirected or postage due entries. Sponsor reserves the right to cancel, terminate, or modify any entry not capable of completion as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, force majeure, or technical failures of any sort. Upon submission, all entries and Submissions (if applicable) become the property of Sponsor and will not be acknowledged or returned.


7. SPONSOR’S OWNERSHIP AND USE OF SUBMISSIONS; YOUR AGREEMENT TO UNRESTRICTED USE: By entering your Submission into this Contest, you hereby grant, transfer and convey to the Sponsor all rights, title and interests in and to the Submission, including but not limited to the irrevocable, royalty-free right to trademark, copyright, reproduce, encode, store, copy, transmit, publish, post, broadcast, display, publicly perform, adapt, exhibit and/or otherwise use or reuse (without limitation as to when or to the number of times used) your Submission (as submitted or as edited/modified in any way by the Sponsor, in the sole discretion of the Sponsor) on the Fraud Lab Fund website and other websites, whether now known or hereafter invented, throughout the world for any purpose whatsoever, without limitation, and without additional review, compensation, or approval from you or any other party.
(a) You acknowledge and agree that you have no right of approval or consultation with respect to Sponsor and its Agent’s use of the Submission.
(b) You agree to provide the Submission at no cost to Sponsor or any other party.
(c) You represent and warrant, and agree to further do so in writing, that you possess all necessary rights and authority to grant, transfer and convey to Sponsor all the rights herein granted.
(d) You represent and warrant, and agree to further do so in writing, that the Submission is wholly original with you and does not and will not violate the right of privacy or publicity of, or constitute a defamation against any person or entity and that it does not and will not infringe upon or violate the copyright, contract rights, proprietary rights, or common law rights or any other rights of any other person or entity.
(e) You agree to indemnify and hold harmless the Sponsor and their respective officers, directors, employees, agents, parent companies, subsidiaries and affiliates from and against any and all claims, liabilities, demands and expenses (including, but not limited to, reasonable attorney’s fees) arising out of or resulting from possession or use in any manner of the Submission.

9. WINNER SELECTION AND NOTIFICATION: Up to six (6) winners will be chosen, at the sole discretion of Sponsor, who will review and judge the Submissions privately.

Winners will be notified by email and/or telephone on or about December 13, 2023, and potential winners may be required to sign and return an Affidavit of Eligibility and Publicity/Liability Release (where lawful) within seven (7) days of the date of notification, in which the winner will acknowledge that the Submission is a “work for hire” and will irrevocably transfer to the Sponsor any and all rights, title, goodwill and interest in and to the Submission, including without limitation, all copyrights, trademarks and waive all moral rights in such Submission. If a winner is a U.S. person, Releases will require the winner to furnish his/her Social Security Number for the sole purpose of tax reporting, as required by law. If a winner cannot be contacted, is ineligible, fails to claim the prize within forty-eight (48) hours from the time notification was sent, or the Affidavit of Eligibility and Publicity/Liability Release is not received within 7 days of the date of notification, the prize may be forfeited and an alternate winner selected. Receipt by winner of the prize offered in this contest is conditioned upon compliance with any and all federal, state, and local laws and regulations. To the extent permitted by law, Forter shall have no liability for any Award Winner’s failure to receive notices due to spam, junk e-mail or other security settings, Award Winner’s provision of incorrect or otherwise non-functioning contact information or any Award Winner’s inability to receive or participate in any component of the prize.


10. PRIZES: Six (6) chosen winners will receive the following (the “Prize”):
– One badge to attend a conference related to fraud, to be mutually agreed upon between the chosen winner and Sponsor, badge value of up to $[2,000]
– Round-Trip Coach Class Flight up to $[1,500]
– Per diem during conference attendance, up to $[75] per day
– Hotel Stay of up to [three nights], up to $[1,500]
Approximate Retail Value of the Prize: $5,000. Approximate retail value of all prizes: $30,000.
No prize substitutions or cash equivalents are allowed, except at the sole discretion of the Sponsor. Prizes may not be transferred. All federal, state, and local taxes associated with the receipt of any prizes are the sole responsibility of the winner. Odds of winning depend upon the number of entries received.
Award winners will be required to work with Forter to create content about the conference they attended in the form of a blog post on FraudLab.com.

As a condition of participating in the Sweepstakes, you agree and acknowledge that LinkedIn (“Social Media Platform”) and its owners, directors, officers, employees, contractors, agents, representatives, parents, subsidiaries, attorneys, insurers, and associated corporations and entities are not sponsors of the Sweepstakes nor do they endorse or administer the Sweepstakes, nor are they in any way associated with the Sweepstakes. All questions regarding the Sweepstakes must be directed to Sponsor. 12. To obtain a copy of these Official Contest Rules, send a self-addressed, stamped envelope to the above address, Attn: Legal Department – Rules Request, Forter Fraud Lab Fund Contest. All such requests must be received within three (3) months after the end of the contest.

GENERAL RULES

1. Conflict Between Rules: The General Rules (“General Rules”) apply to all sweepstakes and contests offered by Sponsor (as defined in the Official Rules) unless modified or superseded by the rules for a specific sweepstakes or contest (the “Official Rules”). In the event that any provision of the Official Rules conflicts with any provision of the General Rules provided herein, the terms of the Official Rules shall prevail with respect to such matter. Sponsor reserves the right to interpret the rules of any sweepstakes or contest at its sole discretion, and such interpretation shall be binding upon all participants.

2. Entry Restrictions: Any forms of entry other than those described in the Official Rules, including but not limited to multiple submissions, submissions using a false identity, submissions made on behalf of another individual, or submissions made through the use of a device or artifice to generate multiple submissions are void. False or deceptive submissions or acts will render an entrant ineligible to participate, and Sponsor reserves the right to disqualify any entrant who attempts to undermine the legitimate operation of the sweepstakes or contest, acts in a disruptive manner, or violates these General rules or the applicable Official Rules. In the event of a dispute over the identity of an entrant, entry will be deemed submitted by the authorized account holder of the e-mail address associated with the entry. Authorized account holder is defined as the person assigned to an email address by an Internet access provider, on-line service provider or other organization responsible for assigning email addresses. Sponsor reserves the right to require entrants to show proof of being the authorized account holder. All entries become the property of Sponsor and will not be acknowledged or returned. Entrant is responsible for all online charges incurred with any Internet service provider and/or wireless carrier.

3. Selection of Winners: The potential winner(s) for a given sweepstakes or contest will be determined from all eligible entries received during the Entry Period and notified according to the Official Rules for the respective sweepstakes or contest. In the event that a sweepstakes or contest has multiple prize periods, entrants may enter more than one (1) prize period, but winner(s) will NOT be eligible to win prizes in subsequent prize periods and non-winning entries will NOT be carried forward to subsequent prize period drawings.

In the event of a tie, winners will be determined based on the judges’ discretion. Judges’ decisions are final and binding.

4. Winner Verification: The prize winner(s) are only potential winner(s) and are subject to verification of eligibility and compliance with these General Rules and the applicable Official Rules. Except where prohibited by law, potential prize winner(s) may be required to complete and return an affidavit of eligibility and liability and publicity release (“Affidavit”) within the time period set forth in Sponsor’s notification. In the event: (i) a potential prize winner cannot be reached for whatever reason after a reasonable effort has been exerted or a winner notification or Affidavit is returned as undeliverable; (ii) a potential prize winner declines or cannot accept, receive or use a prize for any reason; (iii) of noncompliance with the above or within any of the applicable time periods; (iv) a potential prize winner is found to be ineligible to enter the sweepstakes or contest or to receive a prize; (v) a potential prize winner cannot or does not comply with these General Rules and/or the applicable Official Rules; or (vi) a potential prize winner fails to fulfill the Affidavit-related obligations, such potential prize winner may be disqualified from the sweepstakes or contest and an alternate potential prize winner may be selected, at Sponsor’s sole discretion, even if the disqualified potential prize winner’s name has been publicly announced. If Sponsor decides to select an alternate potential prize winner, the alternate will be determined from all eligible entries received during the Entry Period and notified according to the Official Rules for the respective sweepstakes or contest. Sponsor reserves the right to repeat this process until an alternate potential prize winner complies with the verification of eligibility requirements. Sponsor also reserves the right to modify the notification and Affidavit procedures in connection with the selection of an alternate prize winner, if any.

ALL POTENTIAL PRIZE WINNERS ARE SUBJECT TO VERIFICATION BY SPONSOR. SPONSOR’S DECISIONS AS TO THE ADMINISTRATION AND OPERATION OF THE SWEEPSTAKES OR CONTEST, ANY CHANGES TO THESE GENERAL RULES OR THE OFFICIAL RULES, AND THE SELECTION OF THE POTENTIAL PRIZE WINNER ARE FINAL AND BINDING ON EACH ENTRANT IN ALL MATTERS RELATED TO THE SWEEPSTAKES OR CONTEST.

5. Prize Restrictions: Each prize will be awarded only if the potential prize winner fully complies with these General Rules and the applicable Official Rules. All prize details are at the sole discretion of Sponsor and any depiction of the prizes, in sweepstakes or contest materials or otherwise, is for illustrative purposes only. No transfer, refund, cash redemption, substitution, replacement or cash equivalent for a prize will be made. For prizes associated with an event, Sponsor is not responsible for any event cancellation and is not responsible for providing any cash equivalent or replacement prize if the event is canceled. Sponsor reserves the right, at its sole discretion, to substitute any prize for another prize of equal or greater value for any reason.

Sponsor shall have no responsibility or obligation to a prize winner who is unable or unavailable to, or who does not for any reason, accept or utilize their prize. In the event of non-compliance with these General Rules or the applicable Official Rules, or if a prize is unclaimed or returned as undeliverable, the prize will be forfeit. A forfeited prize may be awarded to an alternate potential prize winner, at Sponsor’s sole discretion. Taxes and fees, if any, are the sole responsibility of the prize winner(s). Each U.S. person who is a prize winner must provide Sponsor with valid identification and a valid taxpayer identification number or social security number before any prize will be awarded. Any U.S. person winning over $600 in prizes will receive an IRS form 1099 at the end of the calendar year and a copy of such form will be filed with the IRS. Sponsor is responsible only for prize delivery and expressly disclaims responsibility for prize utility, quality, or otherwise.

For prizes including conferences, events and trips: If the conference, event and/or trip is canceled, delayed or postponed for any reason, winner(s) will not be compensated for the event or trip or reimbursed for any expenses incurred and the prize(s) shall consist solely of the remaining elements. Trip must be booked at least 21 days prior to departure. Trip is subject to availability and blackout dates. Sponsor may, at its sole discretion, determine the airline and flight itinerary as well as accommodations in its sole discretion. No refund or compensation will be made in the event of the cancellation or delay of any flight. Travel and accommodations are subject to availability. Travel is subject to these General Rules, the Official Rules and the terms and conditions set forth by the Sponsor’s airline carrier of choice as detailed in the passenger ticket contract.The winner must be available to travel on dates and times as specified by Sponsor. Travel restrictions, conditions and limitations may apply. Winner and his/her Guest(s) must possess all required, valid travel documents in order to travel. Failure to meet these requirements will result in forfeiture of the trip portion of the prize. Sponsor will not replace any lost, mutilated, or stolen tickets, travel vouchers, certificates, or prize items. If for any reason whatsoever, winner is unable to travel after all travel arrangements have been made and paid, the Sponsor shall have no further obligation to the winner

In the event the winner or their guests engage in behavior that (as determined by Sponsor in its sole discretion) is obnoxious or threatening, illegal, unsafe or that is intended to annoy, abuse, threaten or harass any other person, Sponsor reserves the right to terminate the trip or other applicable experience early, in whole or in part, and send the winner and any guest(s) home with no further compensation.

All costs and expenses associated with prize acceptance and use not specifically listed in the applicable Official Rules as being provided, including, without limitation, additional ground transportation, luggage fees, meals, snacks, beverages, mini-bar, entertainment, tips, souvenirs, personal expenses, damages to hotel rooms, and any equipment to be used in connection with the prize are solely winner’s responsibility, unless set forth otherwise in the applicable Official Rules.

ALL PRIZES ARE AWARDED AS IS AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. SOME JURISDICTIONS MAY NOT ALLOW (OR MAY LIMIT) DISCLAIMERS OF CERTAIN WARRANTIES, IN WHICH CASE THE FOREGOING DISCLAIMERS WILL BE ENFORCED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

6. Publicity Rights and Use of Personal Information: Except where prohibited by law and to the extent you have the right to grant Sponsor and/or Sponsor’s designees the right to use such information,by participating in a sweepstakes or contest offered by Sponsor or accepting a prize, you grant Sponsor and/or Sponsor’s designees the right, to use your name, photograph, likeness, statements, biographical information, employer’s name and logo, voice, city and state address, and other identifying information for advertising and promotional purposes for the sweepstakes or contest in which you participated as well as other advertising and promotional purposes, worldwide, and in perpetuity, in any and all forms of media, now known or hereafter devised without additional compensation, review or approval rights, notification or permission. By participating in a sweepstakes or contest offered by Sponsor, you acknowledge that you will be sharing your personal information with Sponsor and you agree that Sponsor may use your personal information for marketing and other purposes. You may opt out of notices from Sponsor regarding future promotional or marketing offerings by following the opt-out procedure set forth below.

YOU FURTHER ACKNOWLEDGE AND AGREE THAT YOUR PERSONAL IDENTIFYING INFORMATION MAY BE DISCLOSED TO THIRD PARTIES INCLUDING, WITHOUT LIMITATION, PLACING YOUR NAME ON A WINNER’S LIST.

7. Choice of Law and Disputes. The sweepstakes or contest will be governed by the laws of the United States and the State of New York, without respect to any choice of law or conflict of law principles that would result in the application of any law other than that of New York. Except where prohibited by law, each entrant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with the sweepstakes or contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by state or federal courts situated in New York, New York; (ii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, but in no event attorney’s fees; (iii) no punitive, incidental, special, consequential or other damages, including without limitation, lost profits, may be awarded (collectively, “Special Damages”); and (iv) entrant hereby waives all rights to claim Special Damages and all rights to have such damages multiplied or increased.

8. Conditions of Participation and Limitations of Liability. By participating in a sweepstakes or contest offered by Sponsor, each entrant accepts the conditions stated in these General Rules and the applicable Official Rules, agrees to be bound by the decisions of Sponsor, and warrants that he/she/they is eligible to participate in the respective sweepstakes or contest.

By participating, entrants hereby release, indemnify, hold harmless, covenant not to sue, and forever discharge Sponsor, its respective parent companies, affiliates, subsidiaries, retailers, divisions, dealers, advertising and promotion agencies, and all others associated with the development and execution of the sweepstakes or contest, and each of its and their directors, employees, officers, and agents from and against all claims (known and unknown), liabilities, injuries, death, loss and/or damages of any kind that may arise from or relate to the sweepstakes or contest, or the acceptance, possession or use or misuse of a prize, including without limitation (i) the administration of the sweepstakes or contest, such as typographical, printing, seeding, human or other errors relating to or in connection with the sweepstakes or contest, the processing of entries, the announcement of the prize or any related materials, inaccurate, fraudulent, incomplete, illegible, late, lost, stolen, misdirected, undelivered, incomplete, or damaged entries, any delays in delivery or lack of availability of the prize or prize materials and/or (ii) entrants’ participation in a sweepstakes or contest offered by Sponsor or their acceptance or use of a prize, or participation in any prize related activities, including, without limitation, any travel related thereto, and death and bodily injury (including emotional distress), due in whole or in part, directly or indirectly, to participation in the sweepstakes or contest or any sweepstakes or contest-related activity and for any claims or causes of action based on publicity rights, defamation, or invasion of privacy, liability, loss or damages arising from or in connection with the awarding, receipt, and/or use or misuse of any prize or participation in any prize-related activities.

Sponsor reserves the right at its sole discretion to disqualify any individual who is found to be (i) acting in violation of these General Rules and the applicable Official Rules or (ii) acting in an unsportsmanlike or disruptive manner, with the intent to disrupt or undermine the legitimate operation of the applicable sweepstakes or contest, or with the intent to annoy, abuse, threaten or harass any other person. Without limiting the foregoing, in the event Sponsor is prevented from continuing with a sweepstakes or contest as contemplated in the applicable Official Rules by any event beyond its control, including, without limitation, a force majeure, fire, flood, epidemic or other national health emergency, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared,) or any federal, state or local government law, order, or regulation, order of any court or jurisdiction, public health crisis, or other cause not reasonably within its control, then Sponsor shall also have the right to modify, suspend, extend or terminate the respective sweepstakes or contest. In the event that a sweepstakes or contest is terminated, canceled, or postponed for any reason whatsoever, the ARV of the prize(s) will be awarded to the extent required by law.

CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE SPONSOR’S WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF A SWEEPSTAKES OR CONTEST OFFERED BY SPONSOR IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.

9. Privacy Policy: Each participant acknowledges that their personal information will be collected and processed by Sponsor in accordance with its Privacy Policy (https://www.forter.com/privacy-policy/). Sponsor may collect from participants: participant names, email address, street address, occupation and any other details participants provide in entering the contest. Sponsor may share your information with their group companies and trusted third-party suppliers or as otherwise detailed in their privacy policies. This may involve transferring your information to a country or jurisdiction which does not have the same data protection laws as your jurisdiction.
